Welcome to BrizoConsol! These Terms & Conditions ("Terms") govern your access to and use of BrizoConsol's website, platform, and applications (collectively, "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.
These Terms apply to users located in Singapore, Australia, the United States, the United Kingdom, the European Union, and other regions globally where applicable.
"BrizoConsol" means BrizoSystem Pte Ltd, including any affiliates, subsidiaries, or authorized service providers it may engage from time to time.
"User" refers to any individual or entity accessing or using the Services.
"Account" means your registered account on BrizoConsol.
"Content" refers to any data, reports, documents, or information uploaded, generated, or accessed via the Services.
You must be at least 18 years old and capable of entering a legally binding agreement. If you are accessing the Services on behalf of an organization, you represent that you have the authority to do so.
BrizoConsol provides financial consolidation, reporting, and analytics services. Users must not:
All intellectual property rights in the Services and Content remain with BrizoConsol or its licensors. Users are granted a limited, non-exclusive license to use the Services in accordance with these Terms.
Personal data is processed in compliance with applicable data protection laws, including:
BrizoConsol uses Akamai for cloud hosting. Data is stored on servers in the same country or region as the user, based on the selected server region during account setup.
Where BrizoConsol processes personal data on behalf of a User as a data processor (or "service provider" under CCPA), BrizoConsol will:
This Section addresses the processing of personal data. For the confidentiality of business and commercial information, see Section 9. See our Privacy Policy for full details.
"Confidential Information" means any non-public information disclosed by either party to the other in connection with the Services, including but not limited to financial data, entity structures, consolidation reports, business plans, pricing, product roadmaps, and account credentials, whether disclosed orally or in writing and whether or not marked as confidential.
Each party will:
Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party without restriction prior to disclosure; (c) is independently developed without use of the disclosing party's Confidential Information; or (d) is rightfully received from a third party without breach of any confidentiality obligation.
This Section survives termination of these Terms for a period of three (3) years, except with respect to trade secrets, which remain protected for as long as they qualify as trade secrets under applicable law.
Users retain ownership of Content they provide or upload. By using the Services, Users grant BrizoConsol a worldwide, non-exclusive, royalty-free license to use, store, and display the Content for service delivery. Users are solely responsible for the legality, accuracy, and appropriateness of their Content.
BrizoConsol does not use User Content to train foundation or third-party AI models. User Content may be used, in de-identified and aggregated form, to develop and improve BrizoConsol's own AI-assisted features within the Services (e.g., automated account mapping, intercompany elimination detection). Users may opt out of this use by contacting info@brizosystem.com without affecting their access to the core Services.
BrizoConsol may integrate with third-party service providers (e.g., payment gateways, cloud hosting). BrizoConsol is not responsible for the performance, content, or policies of third-party providers.
Services are provided "as is" and "as available." BrizoConsol does not warrant uninterrupted or error-free operation. All implied warranties are disclaimed to the maximum extent permitted by law.
To the maximum extent permitted by law, BrizoConsol is not liable for indirect, incidental, consequential, or punitive damages. Direct liability is limited to the amount of fees paid in the 12 months preceding the claim.
This limitation does not apply to: (a) breaches of Section 9 (Confidentiality); (b) infringement of intellectual property rights; (c) fraud or willful misconduct; or (d) a party's indemnification obligations under Section 14.
Users agree to indemnify and hold harmless BrizoConsol and its affiliates from claims, losses, damages, or expenses arising from use of the Services, violation of these Terms, or infringement of third-party rights.
BrizoConsol may suspend or terminate a User's access for breach of these Terms, unlawful activity, or at our discretion.
Users may terminate their account at any time. For Users on a monthly plan, cancellation takes effect at the end of the current billing cycle. For Users on an annual plan, cancellation takes effect at the end of the current annual term, unless a separate signed service agreement specifies a different notice period.
Neither party will be liable for any delay or failure to perform its obligations under these Terms (other than payment obligations) to the extent such delay or failure results from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, or internet, telecommunications, or utility failures.
Users may not assign or transfer these Terms, or any rights or obligations under them, without BrizoConsol's prior written consent. BrizoConsol may assign these Terms without consent in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its relevant assets, provided the assignee agrees to be bound by these Terms.
These Terms are governed by the laws of the Republic of Singapore, without regard to conflict of law principles.
Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre ("SIAC") in accordance with the Arbitration Rules of the Singapore International Arbitration Centre ("SIAC Rules") for the time being in force, which rules are deemed to be incorporated by reference in this Section.
Nothing in this Section prevents either party from seeking interim or injunctive relief from a court of competent jurisdiction where necessary to protect its rights pending the outcome of arbitration.
Terms may be updated from time to time. Material changes will be communicated via email or website notice. Continued use constitutes acceptance.
